1. Introduction and Acceptance of Terms
Welcome to bookkeepz, LLC (“we,” “us,” “our,” or “bookkeepz”). These Terms of Service (“Terms”) govern your use of our website bookkeepz.com (the “Site”), the Bookkeepz Financial Portal (the “Portal”), and our bookkeeping and accounting services (the “Services”).
By accessing our Site, using the Portal, scheduling a consultation, or engaging our Services, you (“Client,” “you,” or “your”) agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Site, Portal, or Services.
These Terms constitute a legally binding agreement between you and bookkeepz, LLC. Please read them carefully.
2. Services Provided
2.1 Scope of Services
bookkeepz provides professional bookkeeping, accounting, and financial management services to small businesses. Our Services include but are not limited to:
- Monthly bookkeeping and transaction categorization
- Bank and credit card reconciliation
- Financial statement preparation (Profit & Loss, Balance Sheet, Cash Flow)
- QuickBooks Online setup and management
- Accounts payable and receivable management
- Sales tax tracking and reporting
- Custom financial reporting and analysis
- Tax preparation assistance and documentation support
- Access to the Bookkeepz Financial Portal (as a standalone add-on or as part of an eligible service package)
2.2 Service Packages
We offer three service tiers: Starter, Grow, and Surge. Each package includes specific services as outlined on our pricing page. Additional services, including the Bookkeepz Financial Portal, may be available as standalone add-ons for an additional fee.
2.3 Limitations
Our Services are limited to bookkeeping and accounting support. We do not provide:
- Legal advice or services
- Investment advisory services
- Audit or assurance services
- Business management or operational decisions
- Tax filing services (unless explicitly agreed upon)
- Tax advice — estimated tax calculations, financial ratios, variance analyses, and other analytical outputs displayed in the Bookkeepz Financial Portal are for informational and planning purposes only and do not constitute tax, financial, investment, or legal advice
2.4 Bookkeepz Financial Portal
The Bookkeepz Financial Portal is a financial reporting dashboard that connects to your QuickBooks Online (“QBO”) account to display live accounting data, analytics, and estimated tax calculations. Use of the Portal is subject to the following terms:
- Read-Only Access: The Portal accesses your QBO data through Intuit’s official API using read-only permissions authorized via OAuth 2.0. The Portal does not modify, create, or delete any data within your QBO account.
- Authorization: By connecting your QBO account to the Portal, you represent that you are the authorized owner or administrator of the QBO account and have the legal authority to grant read-only access to the financial data contained therein.
- License: Subject to these Terms, bookkeepz grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Portal in connection with your active service relationship with bookkeepz. You may not sublicense, sell, resell, or distribute access to the Portal to any third party without our prior written consent.
- Accuracy: Reports displayed in the Portal are derived from the data in your QBO account. The accuracy of Portal outputs depends on the accuracy and completeness of your underlying QBO data. Estimated tax calculations do not account for all possible deductions, credits, exemptions, carryovers, or other factors that may affect your actual tax liability.
- Availability: We do not guarantee uninterrupted access to the Portal. The Portal depends on third-party services including Intuit’s API and hosting infrastructure, which may experience outages or changes beyond our control.
- Disconnect: You may disconnect your QBO account from the Portal at any time through the Portal interface or through your QuickBooks App Store settings.
3. Client Responsibilities
To ensure we can provide accurate and timely Services, you agree to:
- Provide Complete Information: Supply all necessary financial documents, bank statements, receipts, and business records in a timely manner
- Maintain Accuracy: Ensure all information provided is accurate, complete, and truthful to the best of your knowledge
- Grant Access: Provide secure access to QuickBooks Online, bank accounts, credit card accounts, and other financial platforms as needed
- Timely Communication: Respond to our requests for information or clarification within the agreed-upon timeframe
- Review Reports: Regularly review financial statements, reports, and Portal dashboards we provide and notify us immediately of any errors or discrepancies
- Maintain Records: Keep original source documents and records as required by law
- Separate Business Finances: Maintain separate business and personal bank accounts and credit cards
Failure to fulfill these responsibilities may result in delays, inaccuracies in your financial records, or additional fees for corrective work.
4. Fees and Payment Terms
4.1 Service Fees
Service fees are based on the package you select (Starter, Grow, or Surge) and are outlined in your service agreement or on our pricing page. Fees for standalone add-on services, including the Bookkeepz Financial Portal, are as quoted at the time of enrollment. All fees are quoted in U.S. dollars.
4.2 Billing and Payment
- Monthly Billing: Services are billed monthly in advance on the first day of each month or on your agreed-upon billing date
- Payment Methods: We accept payment via credit card, ACH transfer, or other methods as agreed upon
- Automatic Payments: By enrolling in our Services, you authorize us to charge your designated payment method automatically each billing cycle
- Payment Due Date: Payment is due immediately upon receipt of invoice unless otherwise specified
4.3 Late Payments
Late payments may result in:
- A late fee of $50 or 1.5% per month (whichever is greater) on unpaid balances
- Suspension of Services until payment is received
- Termination of Services if payment is more than 30 days overdue
4.4 Additional Fees
Additional fees may apply for:
- Premium Add-On services not included in your base package
- Catch-up bookkeeping for prior periods
- Clean-up work for poorly maintained books
- Excessive transaction volume beyond package limits
- Rush services or expedited deliverables
You will be notified of any additional fees before they are incurred.
4.5 Refund Policy
All fees are non-refundable unless otherwise required by law. If you cancel Services mid-month, you will not receive a prorated refund for that month’s fees.
5. Term and Termination
5.1 Service Term
Services begin on the date specified in your service agreement and continue on a month-to-month basis unless terminated by either party.
5.2 Termination by Client
You may terminate Services at any time by providing written notice (email acceptable) at least 15 days before your next billing date. You remain responsible for payment through the end of your current billing cycle.
5.3 Termination by bookkeepz
We reserve the right to terminate Services immediately if:
- You fail to pay fees when due
- You breach any provision of these Terms
- You fail to provide necessary information or access after reasonable request
- We determine that continuing the relationship would be unlawful or unethical
- You engage in abusive, threatening, or inappropriate behavior toward our staff
5.4 Effect of Termination
Upon termination:
- You must pay all outstanding fees and charges
- We will provide you with final reports and access to your financial data
- You are responsible for downloading and saving any data you need from our client portal
- Our access to your financial accounts will be revoked
- If you use the Bookkeepz Financial Portal, your QBO connection will be disconnected and your stored OAuth 2.0 tokens will be deleted within 30 days
- Your license to use the Portal ceases immediately upon termination
- We will retain records as required by law and professional standards (typically 7 years)
6. Confidentiality and Data Security
6.1 Confidential Information
We recognize that your financial information is confidential and proprietary. We will maintain the confidentiality of all Client information in accordance with professional standards and applicable law.
6.2 Use of Information
We will only use your information to:
- Provide the Services you have requested
- Display financial reports, analytics, and estimated tax calculations within the Bookkeepz Financial Portal
- Comply with legal and regulatory requirements
- Improve our Services (using anonymized, aggregated data)
6.3 Data Security
We implement industry-standard security measures to protect your data, including AES-256 encryption for OAuth 2.0 tokens associated with the Bookkeepz Financial Portal. However, no system is 100% secure. For more details, please see our Privacy Policy.
6.4 Required Disclosures
We may disclose your information if required by law, court order, subpoena, or government regulation, including to the IRS or other tax authorities.
7. Limitation of Liability and Disclaimers
7.1 Professional Services Disclaimer
Our Services are provided “as is” and we make no warranties, express or implied, regarding:
- The accuracy, completeness, or timeliness of financial information if you provide incomplete or inaccurate source data
- Business decisions made based on our reports or advice
- Tax consequences resulting from financial reporting
- Software functionality or availability (QuickBooks Online, third-party integrations)
- The accuracy of estimated tax calculations, financial ratios, variance analyses, or other analytical outputs displayed in the Bookkeepz Financial Portal — these are estimates derived from your QBO data and standard formulas and do not account for all factors that may affect your actual tax liability or financial position
- Uninterrupted or error-free access to the Bookkeepz Financial Portal
7.2 Limitation of Liability
To the maximum extent permitted by law:
- Our total liability for any claims arising from our Services shall not exceed the total fees paid by you in the 12 months preceding the claim
- We shall not be liable for any indirect, incidental, consequential, special, or punitive damages
- We are not responsible for lost profits, lost business opportunities, or damages resulting from business decisions you make
7.3 Errors and Corrections
We will use reasonable care and skill in providing Services. If we make an error:
- You must notify us in writing within 30 days of discovering the error
- We will correct the error at no additional charge
- Our liability is limited to correcting the error in your financial records
- We are not responsible for consequences resulting from your delay in reporting errors
7.4 Third-Party Services
We are not responsible for:
- Errors, outages, or data loss caused by third-party software (QuickBooks, banks, payment processors)
- Changes to third-party software functionality or pricing
- Security breaches of third-party platforms
- Changes to the Intuit QuickBooks API that may affect the Bookkeepz Financial Portal’s functionality or data availability
8. Intellectual Property
8.1 Your Data
You retain all ownership rights to your financial data and business information. Upon termination, you may request a copy of your data in commonly used formats.
8.2 Our Materials
All content on our website and the Bookkeepz Financial Portal, including text, graphics, logos, templates, methodologies, dashboard designs, report layouts, and software, is the property of bookkeepz, LLC and is protected by copyright, trademark, and other intellectual property laws.
You may not:
- Copy, reproduce, or distribute our proprietary materials without permission
- Use our templates, spreadsheets, or systems for other businesses
- Reverse-engineer any custom tools we develop, including the Bookkeepz Financial Portal
- Sublicense, resell, or provide third-party access to the Portal
9. Indemnification
You agree to indemnify, defend, and hold harmless bookkeepz, LLC, its owners, employees, and contractors from any claims, liabilities, damages, or expenses (including reasonable attorneys’ fees) arising from:
- Your breach of these Terms
- Your violation of any law or regulation
- Inaccurate or incomplete information you provide
- Your business operations or decisions
- Third-party claims related to your use of our Services
10. Dispute Resolution
10.1 Informal Resolution
If you have a dispute with us, please contact us first at info@bookkeepz.com to attempt to resolve the matter informally. Most disputes can be resolved through good-faith communication.
10.2 Binding Arbitration
If we cannot resolve a dispute informally within 30 days, you agree that any claim or dispute will be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association.
- Arbitration will be conducted in Pitt County, North Carolina, or via video conference
- Each party will bear its own costs and fees
- The arbitrator’s decision will be final and binding
- You waive your right to a jury trial or class action
10.3 Exceptions
Either party may seek injunctive relief in court to protect intellectual property rights or confidential information.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law provisions. Any legal action or proceeding (outside of arbitration) shall be brought exclusively in the courts of Pitt County, North Carolina.
12. General Provisions
12.1 Entire Agreement
These Terms, together with our Privacy Policy, the Bookkeepz Financial Portal End User License Agreement (if applicable), and any service agreement, constitute the entire agreement between you and bookkeepz regarding the Services and supersede all prior agreements and understandings.
12.2 Amendments
We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through our client portal. Continued use of Services after changes take effect constitutes acceptance of the modified Terms.
12.3 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms remain in full force and effect.
12.4 Waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
12.5 Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
12.6 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or internet service interruptions.
12.7 Independent Contractor
bookkeepz operates as an independent contractor. Nothing in these Terms creates an employer-employee, partnership, or joint venture relationship between you and bookkeepz.
